Corporate-Commercial / Transactional Lawyer

Location: Downtown Toronto (Hybrid)

The Role

The firm is seeking a mid- to senior-level lawyer with a strong background in corporate-commercial and transactional law. The ideal candidate will have hands-on experience with corporate structuring, M&A, and commercial contracts, with additional knowledge of charity law considered a valuable asset.

Key Responsibilities

  • Provide legal advice on corporate transactions, governance, and commercial matters.
  • Draft and review a wide range of contracts, agreements, and compliance documentation.
  • Lead due diligence processes, negotiations, and the documentation of mergers, acquisitions, and restructurings.
  • Advise on non-profit and charity law issues, including incorporation, compliance, and governance.
  • Build trusted client relationships by understanding goals and delivering practical, strategic solutions.
  • Stay current on developments in corporate, transactional, and charity law.

Qualifications

  • LL.B. or J.D. and member in good standing with the Law Society of Ontario.
  • At least 5 years of experience in corporate-commercial/transactional law, gained at a reputable firm or in-house.
  • Strong knowledge of corporate law, deal processes, and governance.
  • Experience advising non-profits or charities is highly desirable.
  • Excellent communication and drafting skills, with the ability to present complex legal issues clearly.
  • A commitment to social justice, inclusion, and community engagement is a significant asset.
