Lotz & Company is a Vancouver-based business law firm representing local, national and international clients. Our practice areas include corporate and commercial law, securities and capital markets, banking and finance, mergers and acquisitions and mining and natural resources. We routinely assist public and private clients with cross-border transactions, corporate, securities law and stock exchange regulatory matters, debt and equity financings (including IPOs and going-public transactions), strategic investments, corporate restructurings and complex corporate governance matters. We have particular experience in the natural resources sector and routinely counsel clients on resource property acquisitions, exploration and development, industry-specific agreements and permitting, and title matters.
The ideal candidate will have an interest in corporate and banking law and will want to be part of a boutique, entrepreneurial and collaborative work environment.
The Role
We are seeking a paralegal to join our Vancouver office (with the possibility of working out of our Langley office on a full or part time basis), working closely with an existing paralegal and reporting to our lawyers. You will support our corporate/commercial and banking practices, with a focus on corporate records and corporate maintenance, as well as general banking and finance matters, under supervision of experienced counsel and paralegal staff. Key responsibilities include:
- Corporate records and maintenance: preparing and maintaining minute books and corporate records; drafting routine corporate documentation (e.g., director/shareholder resolutions, annual filings, officer/director changes), and managing corporate reorganizations and housekeeping items.
- Entity formation and structuring support: assisting with incorporations, extra-provincial registrations, continuances, dissolutions and related filings.
- Banking and finance support: assisting with a range of banking matters, including lending transactions, amendments and refinancings; assembling transaction documentation and closing materials; preparing and filing required registrations and searches; and assisting with post-closing deliverables and record maintenance.
- Transactional support: assisting on M&A and other transactions, including corporate due diligence, organizing search results, preparing closing books and tracking conditions and deliverables.
- Client and service-provider liaison: communicating with clients, registries, financial institutions, agents and other service providers to obtain information, coordinate filings and ensure records are current and accurate.
- Document management and quality control: drafting, reviewing and assembling documentation under supervision; managing deadlines and ensuring records are accurate, complete and up to date.
- Team support: Working collaboratively within the firm, assisting other staff, contributing to process improvements and providing related legal administrative support as needed.
Who we’re looking for
The ideal candidate will:
- Have completed a paralegal or professional legal assistant program (or equivalent) and relevant paralegal or legal assistant experience in corporate records/corporate services and/or banking and finance.
- Have an interest in corporate maintenance, banking and finance work and be eager to develop in this area.
- Be capable of working in a “boutique/entrepreneurial” environment: self-motivated, adaptable, able to manage multiple tasks and deadlines, and comfortable with a diverse task mix.
- Have strong organizational skills, attention to detail, excellent written and verbal communication.
- Be able to work both independently (with supervision) and collaboratively as part of a small team.
- Ideally have experience with corporate maintenance and banking transactions, but we are open to candidates with less direct experience who demonstrate strong potential and interest.
Compensation and Benefits
We offer a competitive salary that reflects the Vancouver market and the experience of the successful candidate. Salaries range from $60,000 to $85,000 per annum, commensurate with experience.
