Corporate Law Clerk (4+ Years) – Hybrid (3 Days In-Office)
Our client, a well-established full-service law firm, is seeking an experienced Corporate Law Clerk to join their team in North York. This is an excellent opportunity for a detail-oriented professional with strong corporate law experience who enjoys working in a collaborative and fast-paced environment.
Key Responsibilities:
- Prepare corporate documents including incorporations, amalgamations, reorganizations, and dissolutions
- Draft resolutions, manage share transactions, and maintain corporate records (minute books, registers)
- Support M&A transactions, financings, and due diligence processes
- Maintain corporate records across a portfolio of entities
- Coordinate filings (annual returns, extra-provincial registrations) and track compliance deadlines
- Liaise with government authorities to ensure timely and accurate submissions
- Act as a point of contact for clients on routine corporate matters
- Assist with transactional closings, corporate searches, and basic legal research
- Manage multiple files and deadlines in a fast-paced practice
Qualifications & Experience:
- Diploma or certificate from a recognized Law Clerk program
- Minimum 4+ years’ experience as a Corporate Law Clerk in a law firm or in-house setting
- Strong knowledge of corporate procedures, governance, filings, and M&A workflows
- Experience maintaining minute books and handling corporate transactions
- Strong attention to detail and organizational skills
- Excellent written and verbal communication
- Ability to manage competing priorities and deadlines
