Corporate Law Clerk (4+ Years) – Hybrid (3 Days In-Office)

Our client, a well-established full-service law firm, is seeking an experienced Corporate Law Clerk to join their team in North York. This is an excellent opportunity for a detail-oriented professional with strong corporate law experience who enjoys working in a collaborative and fast-paced environment.

Key Responsibilities:

  • Prepare corporate documents including incorporations, amalgamations, reorganizations, and dissolutions
  • Draft resolutions, manage share transactions, and maintain corporate records (minute books, registers)
  • Support M&A transactions, financings, and due diligence processes
  • Maintain corporate records across a portfolio of entities
  • Coordinate filings (annual returns, extra-provincial registrations) and track compliance deadlines
  • Liaise with government authorities to ensure timely and accurate submissions
  • Act as a point of contact for clients on routine corporate matters
  • Assist with transactional closings, corporate searches, and basic legal research
  • Manage multiple files and deadlines in a fast-paced practice

Qualifications & Experience:

  • Diploma or certificate from a recognized Law Clerk program
  • Minimum 4+ years’ experience as a Corporate Law Clerk in a law firm or in-house setting
  • Strong knowledge of corporate procedures, governance, filings, and M&A workflows
  • Experience maintaining minute books and handling corporate transactions
  • Strong attention to detail and organizational skills
  • Excellent written and verbal communication
  • Ability to manage competing priorities and deadlines
