Corporate Law Clerk – Permanent – ID 18154

Overview

Our client, a law firm located in downtown Ottawa, seeks an experienced Corporate Law Clerk for a full‑time, permanent position.

Duties

  • Review, analyze and summarize basic minute books and corporate records; recommend corrective actions and draft necessary documentation.
  • Prepare documents for filing Articles of Incorporation, Articles of Amendment, Articles of Continuance, Articles of Amalgamation, including drafting share provisions.
  • Prepare and file extra‑provincial documents for all Canadian provinces.
  • Prepare supporting documents for transactions, including corporate resolutions.
  • Prepare documents related to the purchase and sale of businesses (asset or shares) and associated corporate documentation.
  • Review accountant or lawyer planning memos on tax‑related corporate reorganizations; prepare document checklists to effect proposed plans.
  • Prepare and organize corporate documents, including issuing shares, updating corporate records such as registered office, and changes to directors, officers, and shareholders, and supporting ancillary documents.
  • Maintain minute book records.
  • Research and interpret legal and technical procedures, statutes and regulations applicable to corporate law.
  • Prepare documents related to securities law and file on SEDAR+.

Qualifications

  • Minimum five (5) years of experience as a Corporate Law Clerk in a law firm or in‑house position.
  • Completion of the Institute of Law Clerks of Ontario Certification or equivalent college program.
  • Excellent verbal and written communication skills with keen attention to detail.
  • Strong interpersonal skills to communicate effectively with clients, external counsel, and colleagues.
  • Ability to work independently and as part of a team, taking initiative in a fast‑paced environment.
  • Deep knowledge of relevant corporate statutes and ability to apply them.
  • Extensive transactional experience.
  • Strong computer skills, including Microsoft Office 365, Closing Folders, and MinuteBox.
  • Highly organized with strong prioritization skills.
  • Self‑motivated, self‑directed, and willing to take responsibility for reviewing documents and information.
  • Team‑player with a positive work ethic.
  • Ability to multi‑task and manage a fast‑paced work environment.

Benefits

The annual salary will be in the $60,000 to $80,000 range, depending on experience. Benefits will be offered. This position requires onsite attendance.
