As part of TMX’s legal and corporate affairs team, the Legal Counsel, Commercial Services is responsible for supporting TMX Group Limited and its affiliates on a variety of commercial and transactional matters across the enterprise, including TMX VettaFi, a leading US-based, indexing, digital distribution, and analytics company.
Responsibilities
- Draft, review and negotiate a broad range of commercial contracts and provide advice on commercial matters, including:
- Support multi-faceted commercial transactions, including strategic projects and global business alliances, involving working with clients, suppliers and internal and external counsel across multiple jurisdictions.
- Provide legal advice and support for the development and execution of commercial strategies and initiatives, including support for the development and launch of new products/services (including data, indices and benchmarks), the procurement of new assets and technologies and outsourcing transactions.
- Work with business lines, including TMX VettaFi, to develop and maintain standard form agreements for products and services offered by the company in support of strategic initiatives and in the ordinary course.
- Support transaction and integration matters related to acquisitions, divestitures and reorganizations.
- Work closely with the strategic procurement team and business lines on all types of contracts, including: technology and intellectual property licensing, third party data licensing and compliance, user engagement, consent management, and analytics platforms and other technology related to the company’s digital properties, software development, SaaS, PaaS, cloud, outsourcing, professional services, support services and service levels, proof of concept, consulting services, leases, purchasing, distribution, revenue share and other commercial agreements.
- Provide advice relating to the development and commercialization of the company’s digital properties across various geographies, including advising on privacy considerations, IP and technology matters, advertising and marketing compliance, website terms, and related matters.
- Provide legal advice and support on a wide range of day-to-day commercial matters, including technology initiatives, information security, anti-spam and privacy-related matters, competition law, intellectual property, promotion and marketing materials, corporate policies, contract interpretation, commercial dispute resolution and litigation management.
- Other duties, as assigned.
Must Have Skills
- Called to the Bar of Ontario with membership in good standing with the Law Society of Ontario.
- Qualified legal professional with at least 3 years of relevant, working experience.
- Knowledge and experience drafting, negotiating, structuring and advising on various types of commercial contracts and transactions, including relating to all aspects of information technology and procurement.
- Good overall understanding of intellectual property law and other technology-related legal principles.
- Knowledge of and experience providing advice on privacy law and antispam compliance, including in commercial contracting, digital advertising and marketing, and policy development.
- Exceptional written and verbal communication, negotiation and drafting skills.
- Excellent analytical and problem-solving skills and attention to detail.
- Team oriented and able to build relationships with all levels of the organization.
Nice to Have Skills
- Experience working in financial services industry is an asset.
- Experience working on mergers and acquisitions and integration of acquired businesses is an asset.
This role is hybrid (2 – 3 days/week in the office) – based in Toronto, ON.
Salary Range: 150,000/year – 165,000/year CAD. Please note that the salary range included is a guideline only. The salary offered may vary based on factors, including, but not limited to, the successful candidate’s relevant knowledge, skills, and experience.
